The purpose of these mini-sessions is to provide our membership with more information in an instructional setting to complement the Early Morning discussion sessions and provide a condensed forum for more in-depth information.

WHAT DO I REALLY NEED TO KNOW TO REVIEW?
Do you need to draft a CO&O? What information do you really need to gather in order to start? You have received a CO&O to review, what areas are important to focus on.
Join us for a walk-through of the CO&O. We will provide an overview of the Head Document, Exhibit A and Appendices and identify areas that require additional consideration.
Presenters: Kevin Milner and Ib Moller
Kevin Milner is a Lifetime Member of PJVA and is an active participant in Joint Venture education as both an instructor and previously in the development of model agreements and course materials. He was a member of the PJVA Board of Directors in 1995 and 1996 as the Director of Education and also participated in both the1996 and 1999 CO&O Agreement Task Forces as well as the 1988 Gas Processing Agreement Task Force and the 1999 and 2003 Unit Agreement Task Forces.
Ib Moller is also a Lifetime Member of PJVA. He has over thirty five years of varied work experience in the oil and gas industry and been involved in joint venture activities for over twenty five years. He has developed and taught courses in unitization, JP95/05 and CO&O's, and has been a coordinator of the PJVA Early Morning Sessions since their inception. Ib was a member of the PJVA Board of Directors from 1992 – 1997 and served as President in 1995 – 1996. He has also participated in a number of PJVA Task Forces including those tasked with development of the model CO&O and Unit Agreements.

Julie Supple has been involved in the training side with Dale Carnegie for about 13 years, and is a multi-course trainer, who teaches in Calgary and Red Deer. She has been a sales associate with Dale Carnegie Training for just over 3 years, prior to that she spent over 20 years in the corporate world as a CMA, working in large organizations. Her most recent position was the Western Canadian Director of Financial Operations for a large office equipment and solutions company, with approximately 350 staff across 4 provinces and the territories. June 23, 2011: "Digging Deeper into the Sandbox - are our agreements working for us or are we working for them?"
An open discussion on what's working vs. not working in our agreements and will be co-moderated by Ib Moller, Lynda MacNeil and Linda Matthie.
January 25, 2011: All I Ever Needed to Know About ROFRs/Consents I Learned from Agreements

Proper handling of rights of first refusal (ROFRs) or consents can ensure a smooth A&D process and are key to the deals. Improper handling can potentially derail a deal if the assets on which ROFRs or consents were missed or misinterpreted. This mini seminar covers ROFRs and consent terms and issues and exceptions in units, facilities and service agreements. It will also explore handling of ROFRs and consents in unexecuted agreements.
The presenter, Linda Green, began her career in the oil patch in 1978 and is recognized as an expert in Joint Venture agreements and highly respected educator throughout our industry. In addition to teaching several PJVA and Mount Royal courses, Linda has been directly involved in PJVA Early Morning Sessions, Task Forces, served on the Board of Directors (1996 – 1998) and was awarded a PJVA Lifetime Membership at the 2007 Annual Meeting.
November 23, 2010: Joint Venture Representative Development Electronic Tool

In 2009, the Petroleum Joint Venture Association ('PJVA') Board established a Committee with a mandate to identify the competencies required to fulfill a Joint Venture Representative role and to develop a tool that would assist in planning Joint Venture Representative development. The model developed by the Committee identifies the broad competencies required for an individual in this position as well as the various skills that are employed on the job. The Committee also developed a guideline for ranking the 'Mastery' levels of each skill, from entry level (Novice) to a senior level (Expert).
We invite you to attend this Mini Seminar where the Committee will review the tool and the corresponding spreadsheet based application which allows users to assess themselves on each of the skills using Skill Descriptions and Mastery Levels as a guide. The application also allows for the incorporation of the employer's views of the importance of each of the skills in performing the Joint Venture Representative role within a particular company. The result is a weighted average score for each Competency and Skill as well as a visual representation of these scores. The intent of the spreadsheet tool is to help individuals assess their strengths and weaknesses relative to the needs of their position as identified within their company. By understanding the areas which would benefit from improvement, an individual will be able to focus on developing particular skills through educational programs, mentoring, or other means.

March 24, 2010: JV Administration - A Review of Processes and Procedures
A Joint Venture Administration Taskforce has been set up by PJVA to update and revamp the Mount Royal University course. The Task Force is maximizing the use of existing materials (the JV Administration Manuals that are published by and available from the PJVA) and is working to educate and create consistency in how JV Administration is done within Industry. Teresa Waddington, Chairperson of the Task Force, will be talking about the course revamp and focus on what the role of the Joint Venture Administrator is (business communication, agreement maintenance, mail ballots and AFE's, acquisitions and divestments, etc.). Lorie Caron and Lynn Woolston will be addressing three areas of controversy and provide instruction on: 1) effective versus binding dates as they relate to property acquisitions and divestments; 2) exhibit revisions and amendments; and 3) mail ballots and AFE's.
Of benefit to all disciplines within Joint Venture, from the JV and AFE Administrators, to the Contract Analysts, to the Reps and Management.

He is co-founder of the Global Negotiation Institute and founder of the Company to Company Dispute Resolution Council. Dave brings 33 years of management experience in the Canadian petroleum industry.
